TelkomONE Empower Series Webinar Terms and Conditions

1      Introduction

1.1  TelkomONE introduces the Empower Series: Wisdom for Global Disruptors, produced by Discover Digital Proprietary Limited (Discover Digital) on behalf of Telkom SA SOC Limited (TelkomONE) and Think Technologies.

1.2  These Terms and Conditions govern the use of the Empower Series: Wisdom for Global Disruptors website (the “Website”) and participation.

1.3  Please read these Terms and Conditions carefully. Your use of the Empower Series Website and/or TelkomONE Services will constitute your acceptance, as the user, of these Terms and Conditions. It is your obligation to review and check these Terms and Conditions and any updates hereto regularly.

2      Acceptance of these Terms and Conditions:
These Terms and Conditions must be treated as being qualified, to the extent necessary, to ensure that the applicable provisions of the Consumer Protection Act, 2008 (“CPA”) are complied with to the extent that they may be applicable to these Terms and Conditions. Nothing in these Terms and Conditions is intended or must be understood to unlawfully restrict, limit or avoid any right or obligation, as the case may be, created for either you or us in terms of the CPA or any other applicable law.

3      Who is Eligible

3.1  The Empower Series service is available to all applicants who wish to register, participate or view/watch the Empower Series: Wisdom for Global Disruptors webinar hosted on Zoom for early applicants and TelkomONE’s video and audio streaming service www.telkomone.tv (“TelkomONE Service”).

3.2  The TelkomONE Service and participation in the Empower Series: Wisdom for Global Disruptors webinar is only available to persons who are 18 years of age or older and who have the capacity to enter into legally binding agreements. For any user who is  under the age of 18, or not legally permitted to enter into a binding agreement, your parent or legal guardian  must supervise you and give their permission to be bound to these Terms and Conditions and to be liable and responsible for you and all your obligations under these Terms and Conditions and such permission shall be deemed to have been given by your parent or legal guardian upon your use of the service.

4        Empower Series Webinar

4.1   Applicants are required to visit www.empower.telkomone.tv to register for the webinar.

4.2   The webinar is with Dr. Aisha Pandor and will be hosted by Gugu Mfuphi.

4.3   The first 100 applicants to register will get an opportunity to participate live in the Zoom webinar with Dr. Aisha Pandor.

4.4   Direct Communication will be sent to all participants via SMS and email confirming their registration and providing more information on the webinar.

4.5   Applicants who do not form part of the first 100 who register can watch the live stream of the webinar free on TelkomONE platform www.telkomone.tv

4.5.1      Applicants who do not have an account with TelkomONE will be required to complete the sign-up process before access can be granted.

5    Information we collect from you

5.1   By registering for the webinar, you give consent to TelkomONE and Discover Digital to collect the following information to be used for all communication regarding the webinar.

5.1.1      Name and Surname

5.1.2      Email Address

5.1.3      Contact Number

6           Protection of your personal information

TelkomONE collects and processes personal information (as defined in the Protection of Personal Information Act, 2013) through and in connection with the Website and applications for more information about how TelkomONE handles personal information, see the Privacy Policy. You consent to the processing of your personal information by TelkomONE and its partners in terms of the Privacy Policy.

7    Contributor Agreement

7.1. By participating in the Webinar (the “Content”) being produced by Thing Technologies (Pty) Ltd (the “Company”) in association with Discover Digital (Pty) Ltd, I, the “Contributor” understand and agree to the following terms of this consent form (“Consent Form”):

7.2. I represent that I have the right to participate in the Content and I agree and irrevocably grant all consents required under law to allow the Company, their licensees and assignees, to use the recording or photographs of my contribution in the Content (the “Contribution”) in whole or in part with or without my name and biographical details and all materials related thereto and derivatives thereof in all media worldwide in perpetuity.

7.3. For full and valuable consideration, the receipt and sufficiency of which I accept, I agree that the copyright and all other rights title and interest in and to the Contribution shall be fully assigned by present assignment of present and future rights with full title to the Company.  I irrecoverably waive the right to assert any moral rights under any law. I grant to the Company, their licensees and assigns the fullest use of the Contribution for exploitation throughout the world by any and all means in all media whether now known or hereinafter invented, developed or discovered in perpetuity in connection with the Content or for any other use of the Content owned and controlled or represented by the Company. The Company, their licensees and assigns, shall have to the right to edit, copy, add, exhibit, package, advertise, promote, transmit, distribute, translate, dub in English or a foreign language, adapt, cut, manipulate, reproduce, exploit all or any part of the Contribution as the Company, their licensees and assigns, deems fit.  The Contribution can be used by the Company, their licensees and assigns, without a further fee being due or becoming payable and the Company, their licensees and assigns, shall have no further obligations arising directly or indirectly to me or any third party representing me. I understand there is no obligation by the Company, their licensees or assigns, to exploit or use the Content or my Contribution.

7.4. The Company, their licensees and assigns, may without my further consent use my name, likeness, photographs of me and recordings of interviews with me in advertising, publicising, promoting, the Content in all media formats throughout the world in perpetuity.

7.5. I am able and authorised to give the Contribution, to grant the rights and permissions referred to above and have the legal capacity to freely enter into this Consent Form and the Contribution is truthful, genuine, does not infringe any copyright and data protection laws, and is not a breach of confidence, defamatory, libellous, constitute a contempt of court, infringe upon the rights of any third party or an act(s) that shall bring the Company or any broadcaster or distributor into disrepute.

7.6. I agree to comply with all applicable country laws relating to anti-corruption and anti-bribery, and I will not perform, offer, give and receive bribes or corrupt actions in relation to the procurement or performance of this Consent.

7.7. I accept that the Company, their licensees and assigns shall not be liable to me or my legal representatives for any loss or damage or injury to me or my property caused or suffered in connection the Company’s or licensees or assignees making of the Content unless caused by the negligence of the Company, licensee or assignee and recoverable on that ground.

7.8. I agree that I shall not either personally or by other means make any statement or disclose any confidential information or methods of production to any third party or any media related organisation relating to the Content, or the general affairs of the Company, their licensees or assigns, and/ or broadcaster in connection with the recording of the Contribution, unless there is a prior written consent from the Company, their licensee or assignee.

7.9. I will indemnify the Company, their licensees and assigns, against all claims, damages, and losses arising as a result of a breach of any warranties I make under this Consent Form.

7.10. I understand and agree that the Company, their licensee or assigns will use my personal details for the purpose of the promotion, recording, exploitation and transmission of the Content, I understand this Consent Form affects my rights under the Data Protection laws.

7.11. The Company may freely assign or licence the benefit and rights granted in this Consent Form to any third party including broadcaster, distributor or funder or other subsidiary or associated company or affiliated party or as required to exploit the Content or make use of the Contribution.  This Consent shall be governed by the laws of South Africa and the parties submit to the exclusive jurisdiction of the courts of South Africa.

8        Disclaimer

8.1   TelkomONE makes no warranties or representations as to the accuracy or completeness of the Website, the TelkomONE App (the “App”)_ and/or TelkomONE Service.

8.2   TelkomONE does not warrant that the Website, App and/or TelkomONE Service is compatible with your computer equipment or software.

9           Intellectual property

9.1       The TelkomONE name and logo is the intellectual property of TelkomONE and may not be used in any way without obtaining TelkomONE prior written permission.

9.2       All other content on the Website, App and TelkomONE Service is either owned by TelkomONE or licenced to it and you may not use, distribute, reproduce and/or adapt in any way the content other than as specifically permitted in these Terms and Conditions.

10     Security of Website

10.1    TelkomONE will take all reasonable technical and organisational measures to protect any user data transmitted over the Website and App.

10.2    TelkomONE cannot guarantee the security of any data transmitted online and the user accepts the risk of providing information on the Website and App.

11     Limitation of Liability

11.1    Subject to the provisions of the CPA, to the extent allowed by any other applicable law and subject to clauses 11.2 and 11.3 below, TelkomONE will not be liable to you for, and you indemnify and hold TelkomONE harmless against, any loss or damage suffered (whether it is direct or indirect) arising from, or connected to:

11.1.1   your network services being interrupted, suspended, or cancelled, for whatever reason; or

11.1.2   any negligent act or failure to act by TelkomONE, its employees or agents;

11.1.3   the use of any device (whether supplied to you by TelkomONE or not) relating to the TelkomONE Service;

11.1.4   your use of the Website or TelkomONE Service;

11.1.5   your inability to use the Website or TelkomONE Service;

11.1.6   any operational failure of the Website or TelkomONE Service;

11.1.7   unlawful activity on the Website or TelkomONE Service and/or any linked third-party websites;

11.1.8   your reliance on any information or content provided on the Website, as TelkomONE makes all reasonable efforts to ensure that the information and content on the Website is complete and accurate;

11.1.9     your improper use of the TelkomONE Services;

11.1.10  any virus downloaded from the Website by you; and/or

11.1.11  breach of security over the Website unless it is due to the gross negligence of TelkomONE.

12        Severance

Any illegal or unenforceable provision of these Terms and Conditions may be severed and the remaining provisions of these Terms and Conditions continue in force.

13        Applicable law and jurisdiction

13.1    These Terms and Conditions are governed by the laws of South Africa.

13.2    Except to the extent that any other regulatory authority has jurisdiction, you agree that the High Court of South Africa has jurisdiction over any disputes arising from these Terms and Conditions.
